CAREER OPPORTUNITY

Islamic Finance and Investment Limited (IFIL) the first Islamic Shariah based financial institution of the country is looking for Company Secretary.

Job Responsibilities:

  • Ensure proper management of the Board Affairs viz. appointment & retirement/rotation of Directors and their casual vacancy.
  • Complete necessary formalities of transfer, sell and/or buy of shares etc., issue share certificates and maintain & update share related issues
  • and documents of Directors/Sponsor/ Shareholders.
  • Act as contact person of the Directors & Shareholders of IFIL and communicate with them from time to time as and when required on board related issues.
  • Convene Meetings of the Board of Directors, Executive Committee, Board Audit Committee and act as the Secretary to the Committees and to prepare notice, agenda and take notes on proceedings and prepare minutes of the meetings and ensure distribution of meeting’s decision among concerned Divisions and monitoring implementation of decisions. 
  • Convene Statutory Meeting/Annual General Meeting/Extraordinary General meeting of the Shareholders and co-ordinate all types of associated functions in this regard.
  • Coordinate necessary arrangement for holding meeting effectively.
  • Prepare Memos of related issues on requirement basis. 
  • Send Minutes of all meetings to Bangladesh bank within prescribed time limit of holding meetings. 
  • Send price sensitive information to regulators and arrangement of publishing the same.
  • Send periodical statement to the regulators.
  • Arrangement for crediting dividend after approval in AGM.
  • Coordinate related works of IFIL Foundation.
  • Supervise and coordinate preparation and publication of Annual Report of the bank and ensure timely dispatch of the same to all Shareholders and Regulatory Bodies. 
  • Ensure filing of all returns i.e. Annual List of members of Summary of Share Capital together with the authenticated Balance Sheet and P&L Accounts, Return of Allotment, Particulars of Directors, Consent to Act as Director to Registrar of Joint Stock Companies and Firms (RJSC&F) in due time and collecting certified copy of the returns for record and further reference. 
  • Correspond with Bangladesh Bank, Registrar of Joint Stock Companies and Firms (RJSC&F), Bangladesh Securities and Exchange Commission (BSEC) etc. from time to time as and when required.
  • Ensure proper documentation related to board affairs.
  • Any other task as and when given by supervisor/proper authority and task which is required as per regulatory guideline/instructions.

Experience Requirement:

  • Minimum 10 years’ of experience in any bank/ Financial Institutions out of which at least 5 years of experience in Board Division.

Eligibility:

  • Masters in any discipline.
  • IT knowledge on Microsoft Word, Excel, PowerPoint, outlook.
  • Good communication skills.
  • Good presentation skills.
  • Age must be within 50 years.
