Haripur Power Limited (“HPL”) is a private company incorporated in Bangladesh, which owns a 360MW combined cycle gas turbine (“CCGT”) power plant located at Haripur, Narayanganj, in Bangladesh. HPL is a wholly-owned subsidiary of Pendekar Energy (L) Ltd (“PEL”), a joint venture between Edra Power Holdings Sdn Bhd (“EPH”), Malaysia, and Aljomaih Energy and Water (“AEW”), Saudi Arabia. PEL intends to divest either 100% or 45% of its shares in HPL (“Proposed Transaction”). The HPL plant was in excellent operating condition, having completed its 22 successful years of operation and its Power Purchase Agreement (“PPA”) expired on the 30th Nov 2023. The plant is well-preserved and ready for operation at short notice. The plant has recently received approval for a 5-years extension of its power plant operations.
