Position: Company Secretary (SPO - AVP)

We are currently seeking a dynamic and strategic professional to lead our Human Resources Division.

Job Summary:

The Company Secretary acts as a key governance professional within Aviva Finance Limited, ensuring that the organization complies with all statutory and regulatory requirements. The role involves supporting the Board of Directors and top management in corporate governance matters, managing all Board and Committee meetings, maintaining statutory registers, and ensuring timely submission of returns to regulatory bodies such as Bangladesh Bank, RJSC, BSEC, and others. The Company Secretary also plays a vital role in legal and compliance matters, corporate disclosure, and liaison with regulators to safeguard the organization’s legal standing and reputation.

Key Responsibilities:

  • Ensure compliance with the Companies Act 1994, Financial Institutions Act 1993, Bangladesh Bank circulars, and other applicable regulatory requirements.
  • Prepare agendas, minutes, and resolutions for Board and Committee meetings.
  • Liaise with regulatory bodies such as Bangladesh Bank, RJSC, BSEC, DSE, CSE, etc.
  • Maintain statutory registers and ensure timely filings with regulatory authorities.
  • Advise the Board on corporate governance and best practices.
  • Support the management in drafting legal and regulatory documents.

Required Qualifications:

  • A bachelor's degree in law, business administration, commerce, or a related field; a master's degree from a recognized university or relevant professional certification (e.g., Chartered Secretary) is preferred.
  • A minimum of 5 years of relevant work experience in corporate secretarial roles, legal compliance, or related areas, with 6 years of experience in a leadership or managerial role. preferably in Banks/NBFIs.
  • Associate Member (ACS) or Fellow Member (FCS) of the Institute of Chartered Secretaries of Bangladesh (ICSB) will be given preference.
  • In-depth knowledge of company law, corporate governance, and regulatory requirements applicable to non-banking financial institutions in Bangladesh.
  • Strong understanding of board procedures, meetings, and documentation.
  • Strong command over corporate and regulatory compliance issues.
  • Detail-oriented and well-versed in maintaining accurate records and documentation.
  • Excellent drafting and communication skills in both Bengali and English (spoken and written) are mandatory.
  • Excellent communication skills and the ability to interact effectively with internal and external stakeholders.
  • Special emphasis will be given to proficiency in typing and drafting official documents in Bengali.
