Job Purpose

The role is responsible to ensure that organizational legal and company affairs matters are managed properly, efficiently and that the relevant and respective stakeholders are shared and given proper advice and guidance. The incumbent will be responsible in being the point person and work closely with the Controller – Legal & Company Affairs in carrying out the general function of the department.

Major Accountabilities

  1. Liaise with local regulatory authorities (BSTI, BIDA, DoE, RJSC, City Corporation etc.) for legal compliances with respect to legal licenses, approvals, permissions, clearance and company matters.
  2. Support to ensure compliance on all company affairs and secretarial related matters. Prepare Board Meeting Minutes, Notice, Meeting Agenda, AGM etc.
  3. Prepare the corporate tax return documents to submit the return in timely manner complying with the tax law.
  4. Maintain close contact and strong coordination and communication with the tax consultants and tax authorities for optimum tax liability of the company.
  5. Assist line manager in case of any TDS/VDS/VAT related issues with Finance department.
  6. Govern all trust managed employee funds including annual audit and investment of funds as per the local laws and trust rules.
  7. Ensure Regulatory compliance of company’s new product launching, legal mandate of food products and labeling compliance as per packaging law.
  8. Assist Controller-Legal & Company Affairs in case of R & D, QA, Labour law compliance, and others legal matters.
  9. Take proactive action and necessary approval from BIDA and Bangladesh Bank for Royalty payment, Foreign remittance, ICT service charge payment and any foreign transaction.
  10. Provide legal support to all business partners i.e. Distributor/contractor/vendor/supplier.
  11. Carry out Contract Management of the Company. Prepare new contract or renew contracts of different vendors, suppliers, distributors etc.
  12. As the custodian of the company, ensure safe file management, keeping all original valued business documents of the company, in a safe manner.
  13. Co-ordinate with business consultants for company affairs, Tax, VAT, and any other regulatory matters.
  14. Provide support to all cross functional department for any legal matters.
  15. Any other assignment given by line manager and management from time to time

Educational Requirements

  • LLB / LLM
  • MBS (Accounting) / CS Holders / Bar Council Enrollment as an Advocate will be given higher preference.

Experience, Skills & Additional Requirements

  • Minimum 3 - 4 years of experience in the relevant field in a reputed organization preferably in MNC
  • Thorough knowledge of Legal, Company Affairs, Tax, VAT, Food Law in FMCG sector
  • Expertise in MS Office and Legal Drafting

Critical Competencies

  • Must have good knowledge of Company Law, Income Tax, VAT law, BFSA Law, Environmental law, Labor law, Contact law, Customs Act etc.
