Role: Deputy Manager/ Senior Executive- Company Secretariat
Reporting to
: Assistant Company Secretary

This position shall be based in Corporate Office, Dhaka and will report to the Assistant Company Secretary.

Responsibilities

  • Organizing the company secretarial functions as per provisions of the Companies Act, Corporate Governance Guideline and Article of Association of the Company.
  • Assist in organizing the Statutory Meetings of the Company, viz. Board Meetings, Annual General Meeting, and Extra-ordinary General Meeting, Audit Committee Meetings, Strategy Committee Meetings, Nomination and Remuneration Committee meetings etc.
  • Implement procedural/administrative systems.
  • Drafting and preparation of all Board, Committee meeting documents including AGM & EGM (Notice and Agenda, Memo, Proceedings and draft minutes) in advance.
  • Ensure compliance to the (i) BSEC Corporate Governance Code for all the public limited companies (ii) Bangladesh Secretarial Standards. 
  • Handle correspondence before and after meetings.
  • Provide support to committees and the Board of Directors etc.
  • Perform all connected works facilitating printing, publication, finalization and distribution of the Annual Report, Quarterly Reports.
  • Developing and maintaining stakeholders list/ register for the Company Secretariat and liaise with the shareholders.
  • Management of the yearly budget for the Legal & Secretariat Department.
  • Filling & submit various returns to BSEC, DSE, CSE and RJSC timely and correctly.
  • Collating information and preparation of share report etc.
  • Ensure policies are kept current, are approved, and that company members are aware of their implications.
  • Maintaining current awareness about company law.
  • Perform related duties as required.

Share Office:

  • Provide efficient service to the shareholders and handle crucial situation professionally if and when occurred by the shareholders. 
  • Act as the Focal Point for over 30,000 public shareholders. Attend the shareholder visiting the Share Office and over phone/email/letters. Timely respond to their queries and requests.
  • Plan & co-ordinate distribution of dividend warrants/bonus/right shares/other letters/information as may be required from time to time.
  • Supervise the process transfer/transmission of shares on time and issue the share certificates as and when required;
  • Management of the Share Register and Transfer Register in Central Depository Bangladesh Limited (CDBL) Software and in-house Software;
  • Supervise the share demat process under CDBL System and confirm that all the demat Request Forms (DRFs) are duly committed within time (48 hours from receipt);
  • Supervise the DRFs/Share certificates/registers/Form 117 for easy retrieval of data in serial and maintain the process of paper based share certificate transfer system.
  • Maintain in day to day regular share management issues.

Profile Required:

Education & Work Experience:

  • Chartered Secretary and/or Member of the Institute of Chartered Secretaries of Bangladesh. 
  • Or MBA/ Finance or LL.B
  • 3 (three) to 5 (five) years’ experience working in public listed company.

Technical competencies:

  • Proficient Chartered Secretary and expertise in dealing with Share Department and Company Secretariat;
  • Sound knowledge and experience on Company Law, Security Laws and related laws;
  • Sound knowledge and experience on accounting and audit.
  • Experience on understanding on compliance of the Company.
  • Solid knowledge in computer including basic MS Word, MS Excel, PPT and operating various specialized software.
  • Drafting skills.
