Board Secretary

Background. A pro-poor social enterprise, had just set out and embarked on its challenging journey of transforming a large (up to 400 Clinics) network of clinics, previously managed by more than 20 NGOs, into a centrally managed platform, called Surjer Hashi Network (SHN). Its mission is to offer high quality, customer-oriented and affordable healthcare services for all Bangladeshis. It wants to serve the poor, committed to increase the market for all by attending to unmet needs and demand and thereby impacting on positive changes in people’s health seeking attitude. A core value of SHN is ‘shared value creation’ through partnerships with private sector, community and the GoB.  Its focus on partnerships is geared towards increasing and leveraging service range, expanding quality and reach, and co-creating solutions with the private sector and communities. Truly, SHN is an innovative, modern private-sector partner in the GoB’s commitment to universal health coverage.
  
General Summary. Reporting to the SHN Board Chairman, the SHN Board Secretary is responsible for assisting the SHN Board Chairman manage the functions of the SHN board. This includes but is not limited to assisting the SHN chairman conduct SHN board meetings by issuing meeting invitations, circulating meeting agendas, taking board and sub-committee meeting notes, and maintaining board files and other required documentation required by Government of Bangladesh laws.

Principal Duties and Responsibilities:

  • Assists the SHN Board Chairman maintain relationships with the AUHC project, SHN staff, USAID, the Government of Bangladesh and other relevant stakeholders as required.
  • Maintains communications with SHN Board members.
  • Establishes and maintains an SHN Board calendar of events.
  • Maintains SHN Board files, including but is not limited meeting agenda, meeting notes, and other relevant correspondence.
  • Takes responsibility for tracking post-meeting follow-up tasks to ensure that tasks assigned during Board meeting are accomplished within the agreed upon timeframe.
  • Works with the SHN finance team to ensure the Board related payments and expanses are properly invoiced and paid in a manner that is consistent with SHN financial regulations.
  • Assist the SHN chairman in conducting SHN board meetings by issuing meeting notice, circulating meeting agendas, taking board and sub-committee meeting notes, and draft minutes of these meetings.
  • Maintain all documents relating to SHN board meetings and events.
  • Perform other duties as assigned by the SHN Board Chairman.

Job Qualifications:

  • Minimum of a Bachelor’s degree in public administration, management, commerce or a relevant field;
  • A minimum of 3 years' experience working with boards or advisory groups;
  • Experience with USAID funded projects not required but preferred;
  • Demonstrated ability to work independently;
  • Strong computer literacy-MS Word, MS Excel; and
  • Strong oral and written communication skills (English & Bangla).
